Terms of Service

These Terms of Service ("Terms") govern your access to and use of Adgent, a marketing-intelligence service operated by Osman Tıkna (a sole proprietorship established in Türkiye) ("Adgent", "we", "us", or "our"). By accessing or using Adgent — including by connecting any advertising or analytics platform — you agree to these Terms. If you are using Adgent on behalf of a company, you agree on its behalf and confirm you have authority to do so. If you do not agree, do not use Adgent.
01The service
Adgent is an AI marketing-intelligence service that, with your authorization, reads the advertising and analytics accounts you connect — including Meta, Google Ads, Google Analytics 4, Google Search Console, and Google Drive or Google Sheets files you select — analyzes them, answers your questions, and, where you grant execution access, applies changes that you approve. Features available to you depend on your plan and the connections and permissions you grant.
02Eligibility
You must be at least 18 years old and able to form a binding contract to use Adgent. You represent that you own, or are authorized to manage, the advertising and analytics accounts you connect, and that your use of Adgent with those accounts does not violate any agreement between you and the relevant platform or any third party.
03Accounts
You are responsible for the information you provide, for the activity under your account, and for keeping your credentials secure. Notify us promptly of any unauthorized use. You must provide accurate information and keep it up to date.
04Connecting your platforms
When you connect a platform, you authorize Adgent to access that account on your behalf through the platform's API in line with the permissions you grant and our Privacy Policy. You represent that you have all rights and permissions necessary to grant this access and to allow Adgent to process the resulting data. You may disconnect any platform at any time, which stops further access.
05Approvals & execution
Adgent operates in read-only mode by default. Where you grant execution access, Adgent may prepare recommended changes, but no change is made to your accounts until you explicitly approve it. You are responsible for reviewing and approving changes and for the outcomes of changes you approve. Adgent is a decision-support tool; final decisions and accountability for your advertising spend remain yours.
06Acceptable use
You agree not to, and not to permit anyone to:
- Use Adgent in violation of any law, regulation, or the terms or policies of any connected platform (including those of Meta and Google);
- Access or connect accounts you are not authorized to manage;
- Reverse engineer, decompile, scrape, or attempt to derive the source code of the service, except where this restriction is prohibited by law;
- Interfere with, disrupt, or place undue load on the service or its infrastructure, or attempt to bypass security or access controls;
- Resell, sublicense, or provide the service to third parties except as expressly permitted;
- Use the service to build a competing product, or to transmit malware or unlawful, infringing, or harmful content.
07Your data & privacy
Our collection and use of information is described in our Privacy Policy, which is incorporated into these Terms. You retain ownership of your data and the data in your connected accounts. You grant us a limited license to access, process, and store that data solely to provide and improve the user-facing service for you, consistent with the Privacy Policy.
08Plans & billing
Some features require a paid plan. Where you purchase a plan, you agree to the fees, billing cycle, and terms presented at checkout. Unless stated otherwise, paid plans are billed in advance, monthly plans may be canceled at any time and take effect at the end of the current billing period, and fees are non-refundable except where required by law. We may change pricing on prospective notice.
09Intellectual property
Adgent, including the service, software, models, and all related content and trademarks (other than your data and third-party marks), is owned by Adgent and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the service in accordance with these Terms. We welcome feedback and may use it without restriction or obligation to you.
10Third-party platforms
Adgent integrates with third-party platforms including Meta, Google Ads, Google Analytics 4, Google Search Console, and Google Drive and Google Sheets. We are not affiliated with, endorsed by, or sponsored by these companies, and their names and logos are the property of their respective owners. Your use of each platform is governed by that platform's own terms and policies, and we are not responsible for the platforms, their availability, or changes they make to their APIs that may affect the service.
11AI output & no guarantees
Adgent uses AI to analyze data and generate briefs, answers, recommendations, and reports. This output is provided for informational and decision-support purposes, may contain errors or omissions, and should be reviewed before you act on it. We do not guarantee any particular result, including any improvement in advertising performance, return on ad spend, or savings. You are solely responsible for decisions you make and changes you approve.
12Disclaimers
To the fullest extent permitted by law, the service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage. We do not warrant that the service will be uninterrupted, error-free, or secure.
13Limitation of liability
To the fullest extent permitted by law, Adgent and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or advertising spend, arising out of or relating to your use of the service. Our total liability for any claim relating to the service will not exceed the greater of the amounts you paid us for the service in the twelve months before the claim or one hundred U.S. dollars (USD 100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
14Indemnification
You agree to indemnify and hold Adgent harmless from claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the service, your data or connected accounts, your violation of these Terms, or your violation of any law or the rights of a third party, including any connected platform's terms.
15Termination
You may stop using Adgent and disconnect your platforms at any time. We may suspend or terminate your access if you violate these Terms, if required for security or legal reasons, or if a connected platform requires it. On termination, your right to use the service ends; we will handle your data as described in the Privacy Policy. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination.
16Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and notify registered users by email to the address associated with their account, through a conspicuous in-product notice, or both. For material changes, we will provide reasonable advance notice and state the effective date. Changes required urgently for legal, security, or connected-platform compliance may take effect sooner.
Unless applicable law requires your express consent, your continued use of Adgent on or after the effective date means you accept the revised Terms. If you do not agree, you must stop using Adgent and may terminate your account before the change takes effect.
17Governing law
These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-laws rules, and the courts and enforcement offices of Istanbul will have exclusive jurisdiction over disputes, except where applicable law gives you the right to bring a claim in your local courts. Nothing in these Terms limits any mandatory consumer-protection rights you may have.
